CNH Industrial is a company, organized under the laws of The Netherlands, resulting from a business combination with Fiat Industrial S.p.A. and CNH Global N.V. consummated on September 29, 2013. CNH Industrial qualifies as a foreign private issuer under the applicable U.S. rules and its common shares are listed on the NYSE and on the MTA. CNH Industrial recognizes the importance of sound corporate governance. The Board as a whole has collective responsibility for the strategy of the Company. Under Article 16 of the Articles of Association, the general authority to represent CNH Industrial shall be vested in the Board of Directors. Following the changes announced, the Board of Directors is currently composed of nine Directors. The appointment of Hubertus M. Mühlhäuser – CEO of the Company - and of Suzanne Heywood – Chairman – to the Company’s Board of Directors as Executive Directors will be subject to the approval of the Extraordinary General Meeting of Shareholders to be held on November 29, 2018.
